Terms of Service
These Terms govern use of Pandli by businesses and other campaign sponsors (“Brands”) and people who create and publish sponsored content (“Promoters,” also called “Creators” in parts of the service).

Agreement and eligibility
By creating an account, checking the acceptance box, or using Pandli, you agree to these Terms and any policies incorporated into them. You must be at least 18 years old and legally able to enter a binding contract. If you act for an organization, you represent that you have authority to bind it.
Your acceptance is recorded with your account role, the Terms version, and the acceptance time. Brand and Promoter obligations differ, so changing the selected role before signup requires a new acceptance.

Accounts and marketplace role
Give accurate information, protect your login credentials, and promptly report unauthorized access. You are responsible for activity through your account. Roles are generally permanent because they determine permissions, payment flows, and marketplace responsibilities. You may not evade a suspension or operate deceptive, duplicate, or impersonating accounts.

Additional terms for Brands
A Brand must:
- offer only lawful products, services, messages, and activities;
- own or have permission to use every name, mark, claim, asset, and instruction in its brief;
- make truthful, supportable claims and provide Promoters enough information to advertise honestly;
- never demand fake reviews, concealed sponsorship, fake engagement, harassment, unsafe acts, or misleading proof;
- respect a Promoter's safety, privacy, creative rights, and right to reject an unlawful or unsafe instruction;
- review submitted work fairly and on time, and approve compliant work without withholding payment improperly; and
- maintain any licenses, registrations, approvals, and insurance required for the campaign.
A Brand must confirm the Content Policy whenever it submits a campaign. Pandli may reject a brief, cancel slots, hold or refund funds, request substantiation, or deactivate an account when a campaign violates these Terms or creates legal, safety, payment, or reputational risk.

Additional terms for Promoters
A Promoter must:
- publish authentic work, use real accounts, and submit accurate post URLs and proof;
- make the sponsored relationship clear and hard to miss, using an appropriate disclosure such as “Ad” or “Sponsored” where required;
- describe only genuine experience and avoid claims the Brand cannot substantiate;
- follow the brief, platform rules, advertising laws, and intellectual-property and privacy requirements;
- never use bots, purchased engagement, recycled or manipulated proof, impersonation, or undisclosed AI-generated endorsements; and
- decline and report any brief that appears illegal, deceptive, exploitative, dangerous, or otherwise prohibited.
If a supported social account is private, Pandli may offer a method to grant its designated account temporary viewing access. You authorize Pandli to access only the material needed to validate the submission. Removing access too early or preventing reasonable verification may delay review or payment.

Prohibited campaigns and content
No user may create, request, submit, publish, fund, or help distribute content that promotes, facilitates, depicts for promotional purposes, or directs people toward:
- anything illegal, or instructions, goods, or services that facilitate illegal activity;
- illegal drugs, controlled substances, cannabis or CBD, drug paraphernalia, or unsafe and unapproved substances;
- weapons, explosives, terrorism, threats, graphic violence, glorification of violence, or content encouraging physical harm;
- pornography, nudity, sexual services, sexually exploitative material, or any sexual content involving or directed toward minors;
- hate, harassment, bullying, discrimination, dehumanization, doxxing, stalking, or abuse based on a protected characteristic;
- self-harm, suicide, dangerous challenges, reckless acts, or content likely to cause injury;
- fraud, scams, deceptive earnings claims, pyramid schemes, fake reviews, fake engagement, impersonation, or counterfeit goods;
- gambling or regulated products and services offered without every required license and Pandli's prior written approval;
- malware, credential theft, cyber abuse, privacy violations, intellectual-property infringement, or unauthorized use of another person's identity or content;
- false or unsubstantiated health, safety, financial, or product-performance claims, or anything that violates a social platform's rules or a payment provider's restrictions;
This list is not exhaustive. Pandli may prohibit additional content when reasonably necessary to protect people, comply with law, satisfy a payment or platform partner, or preserve marketplace integrity. Educational, documentary, public-interest, or harm-reduction context does not create an automatic exception and may require prior written approval.

Review, proof, and automated tools
Brands and Pandli may review URLs, uploaded proof, public posts, and authorized private-account content to determine whether work matches the brief. Pandli may use automated tools, including AI-assisted analysis, to flag missing disclosures, required mentions, suspected manipulation, or unsafe content. Automated results are signals, not guarantees, and may be reviewed by a person. You may not use altered or fabricated evidence to defeat validation.

Payments, fees, refunds, and taxes
Payment services may be provided by Stripe or another processor under that provider's terms. Brands authorize charges shown before checkout. Promoter rewards, Pandli fees, and payment status are displayed in the service. Payment can be delayed, reversed, refunded, or withheld for disputes, chargebacks, sanctions screening, fraud, Terms violations, processor requirements, or incomplete verification.
Users are responsible for their own taxes, filings, and legally required information. Promoters are independent participants, not Pandli or Brand employees, agents, partners, or franchisees.

Content ownership and license
You retain ownership of content you create, subject to rights belonging to others. You grant Pandli a worldwide, nonexclusive, royalty-free license to host, copy, analyze, display, and process submitted content and proof as reasonably necessary to operate, secure, improve, and enforce the marketplace. Any Brand usage rights beyond the sponsored post itself must be stated in the brief or agreed separately.

Moderation, suspension, and termination
Pandli may investigate, remove content, reject or cancel campaigns, pause payments, limit features, make an account inactive, or terminate access when it reasonably believes these Terms were violated or action is needed for safety, fraud prevention, legal compliance, or partner requirements. Pandli may preserve evidence and report suspected illegal activity to appropriate authorities.

No guarantee of campaign results
Pandli is a marketplace and workflow service, not an advertising agency, social network, or audience. Pandli does not guarantee that any campaign or sponsored post will achieve a particular result, including:
- views, reach, impressions, clicks, likes, comments, shares, or engagement;
- new followers, subscribers, leads, customers, or audience growth;
- sales, revenue, conversions, profitability, or return on investment;
- brand awareness, reputation, publicity, sentiment, or audience response; or
- continued availability or distribution of content by a social platform.
Forecasts, examples, analytics, marketplace data, and past performance are informational and are not promises of future performance. Brands are purchasing an approved Promoter deliverable—not a guaranteed business outcome. A Brand's payment obligation for work that satisfies the agreed brief is not eliminated merely because the campaign receives fewer views, engagements, conversions, or sales than expected.
To the fullest extent permitted by law, Pandli is provided “as is” and “as available” without implied warranties, and Pandli is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from campaign performance. Nothing in these Terms excludes a right or liability that applicable law does not permit the parties to exclude.

Indemnity and disputes
To the extent permitted by law, you will defend and indemnify Pandli and its personnel against third-party claims arising from your campaigns, content, products, account activity, legal violations, or breach of these Terms. Before filing a claim, the parties should try in good faith to resolve it through Pandli support. Any unresolved dispute will be handled by a court or tribunal with jurisdiction under applicable law.

Changes and contact
Pandli may update these Terms. Material changes will be presented through the service or another reasonable notice, and a new acceptance may be required. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms, together with an accepted brief and policies shown in the service, form the agreement concerning Pandli.
